3. Client Responsibilities & Compliance

You acknowledge that you are solely responsible for how you use the automation systems we build. By using our Services, you agree to the following:

• Legal Compliance: You represent and warrant that you will comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), GDPR, and other telemarketing or privacy regulations.
• Consent to Contact: You confirm that you have obtained all necessary consent from the contacts you provide to our AI systems. You are strictly prohibited from using our Services for unsolicited "cold calling" or spamming in violation of the law.
• Prohibited Content: You will not use our Services to generate content that is illegal, harassing, hate speech, or fraudulent.

Top G Solutions reserves the right to immediately terminate your account without refund if we discover you are using our Services for illegal robocalling, scams, or harassment.

4. AI Limitations & Disclaimer

Our Services utilize third-party Artificial Intelligence (AI) technologies (e.g., OpenAI, Vapi, Bland AI). By using these Services, you acknowledge:

• Accuracy: AI models are probabilistic and may occasionally produce incorrect, inaccurate, or "hallucinated" responses. Top G Solutions does not guarantee the accuracy of any output generated by the AI.
• Human Oversight: You agree to review and verify critical outputs. We are not liable for any business decisions, lost profits, or damages resulting from reliance on AI-generated advice or content.
• Service Availability: Our Services rely on third-party APIs. We are not responsible for outages, downtime, or data breaches caused by these third-party providers.

5. Intellectual Property

• Client Data: You retain ownership of all confidential data and customer lists you provide to us.
• Agency IP: Top G Solutions retains ownership of the specific prompts, automation logic, code, and system configurations used to deliver the Service. You are granted a non-exclusive license to use these systems so long as you are an active, paying client.

6. Payment & Refunds

• Billing: Services are billed according to the pricing agreement signed at the commencement of the project.
• No Refunds: Due to the nature of digital services and setup costs, all sales are final. We do not offer refunds for setup fees or partial months of service.
• Usage Costs: Unless otherwise stated, you are responsible for variable usage costs (e.g., telephony minutes, API token usage) incurred by your AI agents.

7. Limitation of Liability

To the fullest extent permitted by law, Top G Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising out of your use of the Services. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid to us in the three (3) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Top G Solutions, its owners, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights or laws (specifically including TCPA claims).

These Terms shall be governed by and construed in accordance with the laws of New York, USA, without regard to its conflict of law principles.
